Article „Can owner conclude contracts on behalf of company?“ by Hanne-Loore Härma in accounting and tax information portal
The article is analysing if owners have the right to conclude contracts on behalf of a company. The author has an opinion that although the Estonian Supreme Court has established that in certain cases shareholders may take over the rights of board members and enter into contracts on behalf of a company, in practice such performance should be avoided. In order to avoid disputes, contracts should be signed by a board member who may authorise other persons to make the necessary transactions.
