Pirkka-Marja Põldvere successfully represented client in dispute regarding liability of board member
Tartu County Court satisfied the claim of LEADELL Pilv’s client against a former management board member and ordered the compensation of damage to a company caused by violation of management board member’s liability. The court agreed with the claimant stating that the former board member caused damage to the company by dispossessing company’s assets for lower than the possible market price. According to the court, respondent violated the due diligence and obligation of a board member to be sufficiently informed for making business decisions and act in the best interest of a company. The court also detected that the former board member violated the loyalty obligation upon managing the company by taking into consideration his personal interests instead of the company.
The claimant was represented in this dispute by Pirkka-Marja Põldvere, partner and corporate law specialist of LEADELL Pilv, who is also a member of the corporate law commission of the Estonian Bar Association.
